These Terms of Service (“Terms”) are a legally binding agreement between you and ListLink regarding your access to and use of https://www.listlinkre.com and any related services (collectively, the “Services”).

ListLink is operated by Middle Man Solutions LLC (“Company,” “we,” “us,” or “our”).

If you do not agree to these Terms, do not use the Services.

1. What ListLink Does

ListLink is a referral matching platform that helps connect homeowners and prospective clients with independent licensed real estate agents.

ListLink is not a real estate brokerage, does not represent you, and does not act as your agent, broker, attorney, lender, or fiduciary.

Any agreement, listing, purchase, sale, or services you enter into are between you and the agent or third party you choose.

2. Eligibility

You must be at least 18 years old to use the Services.

3. User Information and Accuracy

You agree to provide accurate, current, and complete information when submitting forms or creating an agent profile.

If you submit false or misleading info, we may block or remove your access to the Services.

4. Agent Participation and Referral Process

If you are a real estate agent, you may submit your information to be considered for referrals.

You understand and agree that:

• You are responsible for maintaining an active license in your state • You are responsible for complying with all applicable laws and brokerage policies • Referrals are not guaranteed • We may deactivate or remove an agent profile at any time, including for quality, compliance, or spam reasons

If a referral agreement is presented, it must be accepted according to the agreement terms before any referral is considered confirmed.

5. SMS Text Messaging Terms

If you provide your phone number and consent to receive text messages, ListLink may send transactional SMS notifications related to referral opportunities.

These messages may include things like:

• Notification that you were selected • Instructions to check your email for a referral agreement • Time sensitive referral alerts

Message frequency varies. Message and data rates may apply.

You can opt out at any time by replying STOP. You can reply HELP for assistance.

We do not send marketing texts under this program.

6. Prohibited Use

You agree you will not:

• Use the Services for illegal purposes • Attempt to scrape, reverse engineer, or abuse the platform • Submit spam, fake leads, fake agent profiles, or misleading information • Interfere with platform security or uptime • Attempt to impersonate any person or company

We may suspend or block access for any violation.

7. Third Party Services and Links

The Services may include links to third party websites or services. We are not responsible for third party content, policies, or actions.

8. No Guarantees and No Professional Advice

We do not guarantee:

• That you will be matched with an agent • That any agent is the best possible choice for you • Any price, outcome, or financial result • That an agent will accept a referral or respond

Any information on the site is general and not legal, tax, or financial advice.

9. Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTLINK AND MIDDLE MAN SOLUTIONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED $100 OR THE AMOUNT YOU PAID US IN THE LAST 12 MONTHS, WHICHEVER IS GREATER.

Some states do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless ListLink and Middle Man Solutions LLC from any claims, damages, losses, and expenses arising from:

• Your use of the Services • Your violation of these Terms • Your violation of any law or third party rights

12. Privacy

Your use of the Services is also subject to our Privacy Policy located at: https://www.listlinkre.com/privacy

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last Updated” date.

Continued use of the Services after changes means you accept the updated Terms.

14. Termination

We may suspend or terminate access to the Services at any time for any reason, including suspected abuse, fraud, or violations of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law rules.

16. Dispute Resolution

Before filing any claim, you agree to contact us and attempt to resolve the dispute informally.

If not resolved, any dispute will be brought in state or federal courts located in California, and you consent to personal jurisdiction there.
